Terms of Service (TOS) for Ambassador Program

This Terms of Service Agreement (“Agreement”) outlines the terms and conditions governing your participation as an ambassador (“Ambassador”) in our Ambassador Program (“Program”). By becoming an Ambassador, you agree to be bound by this Agreement.

  1. Ambassador Enrollment

1.1 Eligibility: To become an Ambassador, you must meet the eligibility criteria set forth by Flexi Studios (“Company”). Generally, Ambassadors must be at least 18 years old and have the legal capacity to enter into a binding agreement. Company reserves the right to accept or reject any Ambassador application for any reason.

1.2 Enrollment Process: To enroll in the Program, you must complete the Ambassador application and provide accurate and complete information as requested. Company may request additional details or documentation for verification purposes.

1.3 Ambassador Status: Once approved, you will become an official Ambassador for Company. This status does not imply employment, agency, partnership, or joint venture relationship with Company. Ambassadors act independently and are responsible for their own actions and taxes.

  1. Ambassador Responsibilities

2.1 Brand Representation: As an Ambassador, you agree to uphold and promote the values, integrity, and reputation of Company. You shall engage in respectful and ethical conduct in all interactions, communications, and representations related to Company.

2.2 Promotional Activities: You will actively promote Company’s products, services, or initiatives using authorized marketing materials provided by Company. Any additional promotional materials used by Ambassadors must be approved by Company in writing before use.

2.3 Compliance with Laws: Ambassadors shall comply with all applicable laws, regulations, and industry standards while representing Company. This includes, but is not limited to, laws governing advertising, privacy, and intellectual property.

2.4 Prohibited Activities: Ambassadors shall not engage in any activities that could harm the reputation of Company, including but not limited to spamming, false advertising, or unauthorized use of trademarks and copyrighted materials.

  1. Ambassador Benefits and Incentives

3.1 Benefits: As an Ambassador, you will have access to exclusive benefits, incentives, and rewards, which may include special discounts, early product releases, and invitations to Ambassador events.

3.2 Commission or Incentive Structure: Company may provide you with a commission or incentive structure for eligible referrals or promotional activities. The details of the commission or incentive structure will be communicated separately and are subject to change at Company’s discretion.

  1. Intellectual Property

4.1 Ownership: All intellectual property, including but not limited to trademarks, logos, and promotional materials, are and shall remain the sole property of Company. Ambassadors are granted a limited, revocable, and non-transferable license to use approved marketing materials solely for the purpose of promoting Company.

4.2 Ambassador Content: Ambassadors may create and share content related to Company, subject to compliance with this Agreement and any content guidelines provided by Company.

  1. Termination

5.1 Termination: Either party may terminate this Agreement at any time and for any reason by providing written notice. Upon termination, the Ambassador shall cease using any promotional materials or intellectual property provided by Company.

5.2 For Cause Termination: Company reserves the right to terminate an Ambassador’s participation in the Program immediately, without notice, for any violation of this Agreement or any behavior deemed harmful to Company’s interests.

  1. Limitation of Liability

6.1 Disclaimer: While Company strives to provide accurate and up-to-date information, Company makes no warranties or representations regarding the success or profitability of the Ambassador’s promotional activities or the accuracy of the information provided within the Program.

6.2 Indemnification: Ambassadors agree to indemnify and hold Company harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or related to the Ambassador’s actions or representations.

  1. Modification of the Agreement

7.1 Amendment: Company reserves the right to modify this Agreement at any time. Amendments will be communicated to Ambassadors, and continued participation in the Program following the modification constitutes acceptance of the revised terms.

By becoming an Ambassador, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions. This Agreement shall be effective upon your acceptance and will remain in effect until terminated by either party.
